These Terms of Use ("Terms") govern your access to the GetNeonLit website, newsletter and all services we provide. By using the site or engaging us, you accept these Terms in full. If you do not agree, do not use the site or our services.

1. Services

GetNeonLit provides AI-first marketing services including strategy, creative, engineering, media buying, automation and advisory work. Specific deliverables, timelines and fees are defined in the applicable proposal or statement of work. These Terms apply alongside our Cancellation & Refund Policy and Privacy Policy.

2. No Guarantees of Results

Marketing outcomes depend on factors outside our control, including market conditions, platform algorithms, competitor activity, your product, pricing and internal execution. We make no guarantee of rankings, traffic, leads, conversions, revenue, ROI, reach, approval by any platform, or any other result. Any figures, forecasts, benchmarks or case studies are illustrative only and are not promises.

3. "As Is" Disclaimer

The website, all content and all services are provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation. To the maximum extent permitted by law, all such warranties are disclaimed.

4. AI-Generated Output

Our deliverables may be produced with the assistance of artificial intelligence. AI output can be inaccurate, incomplete, biased or unintentionally similar to existing material. You are solely responsible for reviewing, verifying, approving and publishing any deliverable, and for its legal, regulatory, factual and commercial suitability. We accept no liability for consequences arising from AI-assisted output that you approve, publish or rely upon.

5. Your Responsibilities

You are responsible for: the accuracy and legality of all materials, claims, data and assets you supply; holding all necessary rights, licences and consents; compliance with advertising, consumer-protection, privacy, data-protection and industry-specific laws; the security of your accounts and platforms; and all decisions you make based on our work. You must not use the site or our services for unlawful, infringing, deceptive or harmful purposes.

6. Third Parties

We are not responsible for third-party platforms, vendors, networks, AI providers or tools — including account suspensions, ad disapprovals, policy changes, price changes, outages, data loss or breaches on their side — even where we recommend, configure or manage them on your behalf.

7. Limitation of Liability

To the fullest extent permitted by law, GetNeonLit and its founders, employees, contractors and partners shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, ad spend or anticipated savings, arising out of or relating to the site, our services or these Terms — regardless of the theory of liability and even if advised of the possibility of such damages.

Our total aggregate liability for all claims shall not exceed the total fees actually paid by you to GetNeonLit for the specific engagement giving rise to the claim in the three (3) months immediately preceding the event, excluding pass-through costs such as ad spend and third-party subscriptions. Where use of the site is free of charge, our aggregate liability is limited to zero.

8. Indemnity

You agree to indemnify, defend and hold harmless GetNeonLit and its personnel from and against all claims, demands, losses, liabilities, fines, penalties, damages and costs (including reasonable legal fees) arising from your use of the site or services, your materials and instructions, your published campaigns, your breach of these Terms, or your violation of any law or third-party right.

9. Intellectual Property

All site content, branding, methods, frameworks and tooling remain the property of GetNeonLit. Ownership of paid deliverables transfers to you only upon receipt of full payment, and excludes our pre-existing materials, templates and third-party assets, which are licensed to you on a non-exclusive basis for the agreed purpose.

10. Newsletter & Communications

Newsletter content is provided for general information only and does not constitute legal, financial, tax or professional advice. Cancellation terms for engagements are as published in our newsletter and in our Cancellation & Refund Policy.

11. Changes & Termination

We may modify these Terms, the site or our services at any time. We may suspend or terminate access where we reasonably believe there has been a breach, non-payment or misuse. Continued use after changes constitutes acceptance.

12. Governing Law & Severability

These Terms are governed by the laws applicable at GetNeonLit's principal place of business, and the courts there have exclusive jurisdiction. If any provision is held unenforceable, the remaining provisions continue in full force, and the limitations of liability above apply to the maximum extent permitted by law. Nothing in these Terms excludes liability that cannot lawfully be excluded.
